Contribution License Agreement
At PryCity Digitals, we value the contribution of developers, designers, and creators in our community. Whether you’re submitting digital assets, code, themes, or other types of work. We want to ensure that both parties understand the terms under which contributions are made and used.
This Contribution License Agreement (CLA) governs any contributions made to PryCity Digitals and clarifies the rights and responsibilities involved. By submitting a contribution to PryCity Digitals, you agree to the terms outlined below.
1. Definition of Contribution
A contribution refers to any submission made to PryCity Digitals that includes. But is not limited to:
- Code (e.g., plugins, themes, templates, scripts)
- Artwork, images, graphics, or designs
- Written content (e.g., documentation, tutorials, guides)
- Digital assets such as eBooks, themes, stock photos, etc.
- Any other materials intended for use on the PryCity platform.
2. Grant of Rights
By submitting a contribution to PryCity Digitals, you grant PryCity Digitals the following rights:
- License to Use, Reproduce, and Distribute: PryCity Digitals has the right to use, modify, reproduce, display, distribute, and sublicense your contributions on our platform, including any associated documentation.
- Exclusive or Non-exclusive License: If your contribution is submitted under an exclusive license. PryCity Digitals will have the exclusive right to use the contribution. If it’s submitted under a non-exclusive license, you retain the right to use the contribution elsewhere. But PryCity Digitals still has the right to use and distribute it on our platform.
- Rights to Derivative Works: You grant PryCity Digitals the right to create derivative works based on your contributions. These derivative works may be edited, modified, or combined with other content.
3. Representations and Warranties
By submitting your contribution, you confirm the following:
- Ownership: You are the sole author and owner of the contribution, and you have the legal right to grant the licenses and rights described in this agreement.
- Originality: The contribution is original and does not infringe on any third-party intellectual property rights. If your contribution is based on other work, you must have permission to use that work.
- No Conflicts: Your contribution does not violate any existing agreements, licenses, or obligations you may have with other parties.
4. Indemnification
You agree to indemnify and hold PryCity Digitals harmless from any claims, damages, or losses arising from your contributions, including but not limited to:
- Any third-party claims of copyright infringement, patent infringement, or violation of intellectual property rights.
- Any other legal claims that arise from your submission of the contribution.
5. Contribution Acceptance
PryCity Digitals reserves the right to review and approve or reject any contributions. We may decide not to accept contributions based on criteria such as quality, relevance, or compatibility with our platform.
If your contributions are accepted and published on PryCity Digitals. You will be credited as the author, unless you choose to remain anonymous.
6. No Payment or Royalties
Unless otherwise agreed upon in writing, contributions made to PryCity Digitals are provided without payment, royalties, or compensation. This includes but is not limited to any form of monetary compensation or any promise of future remuneration.
7. Revocation of License
PryCity Digitals may revoke or suspend the rights granted by you under this agreement if:
- The contribution is found to violate intellectual property rights, laws, or ethical standards.
- The contribution contains harmful, offensive, or illegal content.
- Any other violation of the platform’s policies or terms of service occurs.
8. Licensing of Contributions
Any contributions submitted to PryCity Digitals will be licensed under the following terms:
- Non-exclusive: Unless otherwise agreed, your contributions are non-exclusive, meaning you can contribute the same material to other platforms or entities.
- Open License: Contributions may be made available under open-source licenses or proprietary licenses as determined by PryCity Digitals, depending on the nature of the contribution.
9. Termination of Agreement
Either party may terminate this agreement at any time with written notice. Upon termination, PryCity Digitals will no longer use or distribute any new contributions you submit. However, contributions that have already been published. Or distributed will continue to be governed by the terms of this agreement.
10. Modifications to This Agreement
PryCity Digitals reserves the right to modify or update this Contribution License Agreement at any time. Any changes will be communicated to contributors via email or posted on the PryCity Digitals website. Continued submission of contributions after such changes constitutes acceptance of the updated agreement.
11. Governing Law
This agreement shall be governed by the laws of Puerto Rico. Without regard to its conflict of law principles. Any disputes arising from this agreement shall be resolved in the appropriate courts of Puerto Rico.
By submitting a contribution to PryCity Digitals, you acknowledge that you have read, understood, and agreed to the terms and conditions set forth in this Contribution License Agreement.
